Nature of Contract ·
📜 Definition of Contract
Treitel: "A contract is an agreement giving rise to obligations which are enforced or recognized by the law. The factor which distinguishes contractual from other legal obligations is that they are based on the agreement of the contracting parties."
Anson: "We may provisionally describe the law of contract as that branch of the law which determines the circumstances in which a promise shall be legally binding on the person making it."
Pollock: "A contract is a promise or set of promises which the law will enforce."
American Restatement (Second) of the Law of Contract, 1978: "A contract is a promise or a set of promises for the breach of which the law gives a remedy or the performance of which the law in some way recognizes as duty."
Contract Act, 1872 (Sec. 2(h)): "An agreement enforceable by law is a contract."
Key point: All contracts are agreements but all agreements are not contracts. Only those agreements which have intention to create legal relationship become contracts.

Essentials of Valid Contract ·
📜 Section 10 – Essentials
According to Section 10 of the Contract Act, all agreements are contracts if they are made:
- (a) By free consent of the parties
- (b) By parties competent to contract
- (c) For a lawful consideration
- (d) With lawful object
- (e) Not expressly declared to be void by the Contract Act
Note: A contract may contain all above elements but still be void if it is against the provision of any law or against public policy.
III
Offer / Proposal & Acceptance ·
📜 Rules regarding Offer / Proposal
(a) Definition: A person is said to make an offer when he signifies to another his willingness to do or to abstain from doing anything with a view to obtaining the assent of that other. But a mere statement of intention is not an offer.
(b) Intention to create legal relations: The proposal must be made with the intention of creating legal relations, otherwise there will be no agreement. Social engagements are not contracts.
(c) Communication: Every offer must be communicated – either by words or conduct. An offer is not open to a person who is ignorant of it. An offer may be made to the public at large, but can only be accepted by a definite person. Example: Reward for a lost ring can only be accepted by the finder of the ring.
(d) Reasonable period: Every offer remains open for a reasonable period after which it lapses. What is reasonable time is a question of fact. Death or insanity of the offeror causes an offer to lapse provided the fact comes to the knowledge of the acceptor before acceptance. Failure to accept in the manner prescribed also causes lapse.
(e) Revocation: An offer must be revoked before acceptance and revocation must be brought to the knowledge of the offeree before acceptance. An acceptance is complete as against the offeror as soon as it is put in course of transmission (posting rule – Household Fire Insurance Co. v. Grant), but not as against the acceptor unless and until the letter reaches the offeror.
📜 Rules regarding Acceptance
(a) Absolute and unqualified: Every offer must be accepted as it is. Acceptance with conditions and reservations is no acceptance – it is a counter offer. An offer once refused cannot be accepted unless renewed.
(b) Communication: Acceptance must be communicated. Mental assent is no acceptance. The acceptor must do or say something to indicate readiness. An acceptance is sufficiently communicated even though the offeror may be ignorant of it (posting rule).
(c) Conditional assent: A conditional assent (e.g., "subject to contract") does not amount to acceptance.
(d) Tender: In a tender for purchase/sale of goods, the person asking for tenders makes an invitation to treat. The offer comes from the person making the tender.
Bangladesh rule (Sec. 7): Acceptance must be (1) absolute and unqualified; (2) expressed in some usual and reasonable manner, unless the proposal prescribes the manner. If not in prescribed manner, the proposer may insist on prescribed manner; if he fails to do so, he accepts the acceptance.
Sec. 8: Performance of conditions of a proposal is an acceptance of the proposal.
📜 Invitation to Treat
English: An invitation to offer is a mere statement of the person's intention or declaration of willingness to enter into negotiations. It is an advertisement inviting others to make an offer. It is not an offer. Examples: catalogue of goods; quotation of lowest price in answer to an inquiry; advertisement for tenders; advertisement of an auction. In such cases it is the purchaser who makes the offer and the trader or auctioneer who accepts or rejects it.
IV
Free Consent / Vitiating Elements ·
📜 Consent & Vitiating Elements
English: Consent is said to be free when it is not caused by:
- Coercion (Sec. 15)
- Undue Influence (Sec. 16)
- Fraud (Sec. 17)
- Misrepresentation (Sec. 18)
- Mistake (Secs. 20-22)
Effect:
- If consent is given under the first four circumstances, the contract is voidable at the option of the party whose consent was so caused (Secs. 19 and 19-A)
- If consent is caused by mistake of both parties, the agreement is void (Sec. 20)
📋 (a) Coercion (Sec. 15) বলপ্রয়োগ
Definition: Committing or threatening to commit any act forbidden by the Penal Code, or the unlawful detaining or threatening to detain any property, to the prejudice of any person, with the intention of causing any person to enter into an agreement.
Note:
- A threat to prosecute a man or to file a suit against him is NOT coercion – it is not forbidden by Penal Code
- Compulsion of law is NOT coercion – Andha Sigers Ltd. v. State of A.P. (1968)
- Charging high prices or high interest rates is NOT coercion
- Threat to commit suicide – Madras High Court held it amounts to coercion (Amiraju v. Seshamma (1917)), but Oldfield J. dissented – suicide is not punishable, only attempt is punishable
📋 (b) Undue Influence (Sec. 16) অপ্রভাব
Definition: A contract is said to be induced by undue influence where the relations subsisting between the parties are such that one of the parties is in a position to dominate the will of the other and uses that position to obtain an unfair advantage over the other.
Presumed in: Real/apparent authority (moneylender, guardian and ward, teacher and pupil), fiduciary relationship (husband and wife, guru and follower, legal adviser and client), mental incapacity (patients).
Pardanashin lady: Regarded as having imperfect knowledge of the world and specially exposed to undue influence. Terms must be explained to her.
NOT presumed in: Landlord and tenant; creditor and debtor; husband and wife (Mackenzie v. Royal Bank of Canada). Party alleging must prove.
Rebutted if: Independent advice, all material facts disclosed, adequate consideration.
Suspected in: Inadequacy of consideration, fiduciary relationship, inequality between parties, absence of independent advice, unconscionable bargains.
📋 (c) Fraud (Sec. 17) প্রতারণা
Definition: Fraud is a false representation of fact, made with knowledge of its falsehood or recklessly without belief in its truth, with the intention that it would be acted upon by the other party and actually inducing him to act upon it.
Does silence amount to fraud? Mere silence is not fraud; but silence amounts to fraud when:
- (a) The circumstances are such that it is the duty of the person keeping silence to speak; OR
- (b) When silence is in itself equivalent to speech
Example: B says to A, "If you do not deny it, I shall assume that the horse is sound." A says nothing. Here A's silence is equivalent to speech.
Mere commendation or praising of one's own goods is NOT fraud (e.g., "X products are the best in the market"), unless clear intention to deceive is proved.
Remedies (Sec. 19): Avoid performance; insist on performance and be put in position as if representation were true; sue for damages (fraud is a civil wrong/tort).
📋 (d) Misrepresentation (Sec. 18) ভুল উপস্থাপন
Definition: Misrepresentation arises when the representation made is inaccurate but the inaccuracy is not due to any desire to defraud the other party. There is no intention to deceive.
Three groups:
- Unwarranted Assertion: Positive assertion, in a manner not warranted by the information of the person making it, of that which is not true, though he believes it to be true. Example: A says land produces 12 K.G. of rice per bigha – believes true but no sufficient grounds – later found false.
- Breach of Duty: Any breach of duty which, without intent to deceive, gains an advantage to the person committing it, by misleading another to his prejudice.
- Innocent Mistake: Causing, however innocently, a party to an agreement to make a mistake as to the substance of the thing which is the subject of the agreement.
📋 (e) Mistake (Secs.
English: A mistake may be one of fact or of law.
- Both parties under mistake of fact essential to agreement: Agreement is void (Sec. 20)
- Both parties under mistake of law not in force in Bangladesh: Agreement is void (Sec. 21)
- Only one party under mistake: Contract is NOT void (Sec. 22)
- Both parties mistaken as to law in force in Bangladesh: Contract is NOT void (Sec. 21)
V
Contractual Capacity ·
📜 Who are not competent to contract?
Section 11 of the Contract Act, 1872 – Two kinds of disqualification:
- (a) Disqualification of infancy
- (b) Disqualification by insanity
📋 1. Infancy
Majority Act, 1875 (Sec. 3): Every person attains majority on completing 18 years. Exception: If a guardian is appointed by Court or Court of Wards assumes superintendence, majority is 21 years.
Minor's contract is absolutely void and not merely voidable (Sec. 10, 11, 183; Partnership Act Sec. 30).
English law: Minor can make a contract for necessaries – but NOT possible under Contract Act, 1872.
Sec. 68: If a person incapable of entering into a contract is supplied by another with necessaries suited to his condition in life, the supplier is entitled to be reimbursed from the property of such incapable person.
Landmark case: Mohori Bibee v. Dharmodas Ghose (1903) – A minor entered into a mortgage and money was advanced. Held: mortgage was void; moneylender not entitled to repayment under Secs. 64 and 65.
Sale in favour of minor: A duly executed transfer by way of sale in favour of a minor who has paid consideration is NOT void and is enforceable by law.
Necessaries (Sec. 68): (a) Costs of defending suit; (b) Costs of defending prosecution; (c) Loan to save property from sale; (d) Money advanced for marriage expenses.
📋 2. Insanity
Definition: A person is said to be of sound mind for making a contract if, at the time when he makes it, he is capable of understanding it and of forming a rational judgment as to its effect upon his interests.
Cases:
- (a) A patient in a lunatic asylum, at intervals of sound mind, may contract during those intervals.
- (b) A sane man delirious from fever or so drunk that he cannot understand the terms of a contract or form a rational judgment as to its effect cannot contract whilst such delirium or drunkenness lasts.
📋 3. Other Disqualifications
English: Certain persons are incapable of contracting owing to political, professional or legal status:
- Aliens: Contracts with aliens are valid. An alien living in Bangladesh is free to enter into contracts. But State may impose restrictions. A contract with an alien becomes unenforceable if war breaks out with his country. (Mighell v. Sultan of Johore)
- Foreign sovereigns/governments: Cannot be sued unless they voluntarily submit to local court's jurisdiction. But can enter into contracts through agents residing in Bangladesh – agent becomes personally responsible.
- Barristers (England): Cannot sue for fees. But in Bangladesh, they CAN sue. (Nihal Chand v. Dilwar Khan)
- Doctors: In Bangladesh, no restriction on suing for fees. (Gosta Behari Roy v. P.C. Ghosh & Co.)
- Corporations: Contractual capacity limited by Memorandum and Articles of Association and Companies Act, 1994.
VI
Consideration ·
📜 Definition & Rules
Definition (Currie v. Misa): "A valuable consideration in the sense of the law may consist either in some right, interest, profit or benefit accruing to one party, or some forbearance, detriment, loss or responsibility given, suffered or undertaken by the other."
Rules regarding consideration:
- (a) Need not be adequate: Court does not inquire whether consideration is substantial. If A promises to pay Tk. 100 for an old stamp, it is no defense that the stamp is of much smaller value.
- (b) Must be real and not sham: Must be of real value. If A promises to pay B Tk. 1,00,000 for B's promise to take him to the moon – sham.
- (c) Must not be illegal: Illegal if intended to defeat provisions of law or against public policy. Promise to pay B Tk. 10,000 for dropping a prosecution for robbery – illegal.
- (d) Must not be past: May be executory or executed, but NOT past. A saves B's life; B promises to pay Tk. 1,00,000 out of gratitude – past consideration, no contract.
- (e) Must move from the promisee: "No stranger to the consideration can sue on the contract." If A promises to pay B Tk. 50 if C works for him, B cannot sue.
Difference from English law: (a) In Bangladesh, consideration may be past; in English law, past consideration is generally not recognized. (b) In Bangladesh, consideration may move from any person; in English law, must move from promisee.
📋 When Contract Without Consideration is Valid (Sec. 25)
According to Section 25 of the Contract Act, an agreement made without consideration is void except in the following:
- 1. Natural love and affection: A gratuitous promise is binding if in writing and registered and made on account of natural love and affection between parties standing in near relation to each other.
- 2. Past voluntary service: A gratuitous promise is binding when it is a promise to compensate wholly or in part a person who has already voluntarily done something for the promisor, or something which the promisor was legally compellable to do.
- 3. Time-barred debt: A promise to pay a time-barred debt is enforceable provided the promise is in writing and signed by the promisor or his duly authorized agent.
VII
Types of Contract ·
📋 In respect of validity and operation
(i) Valid Contract: Creates in favour of one party a legal obligation binding upon the other. Enforceable at law, satisfies all requirements.
(ii) Unenforceable Contract: Valid but cannot be given effect in court due to procedural difficulty. Example: A gives loan to B; A does not sue within limitation period – claim barred by time. Not invalid, but unenforceable.
(iii) Void Contract: No agreement in strict sense, e.g., agreement under mistake. Payment under void contract can be recovered under certain circumstances.
(iv) Voidable Contract: Can be avoided or set aside at the option of one party. Contract vitiated by fraud or coercion is voidable. Void contract is nullity from beginning; voidable is presumed valid until avoided.
Difference: Void contract does not affect collateral transaction; illegal contract does. If A promises to pay B money on account of a wager – B cannot enforce. But if X, agent of A, pays money due on wager under A's instruction, he can recover from A.
VIII
Agreements Expressly Declared Void ·
📋 List of Void Agreements
The following agreements are expressly declared void by law:
- 1. Agreements in restraint of marriage (Sec. 26): Every agreement in restraint of marriage of any person, other than a minor, is void because injurious to moral welfare.
- 2. Agreements in restraint of trade (Sec. 27): Agreement depriving a person of his right to exercise a lawful profession, occupation, trade or business is void to that extent. Exceptions under Partnership Act, 1932 (Sec. 11(2), 36(2), 54, 53(3)).
- 3. Agreements in restraint of legal proceedings (Sec. 28): Agreement restricting a party from enforcing his rights absolutely or limiting the time within which he may enforce his rights is void. Exceptions: arbitration agreements.
- 4. Agreements involving uncertainty (Sec. 29): Agreements the meaning of which is not certain, or capable of being made certain, are void.
- 5. Agreements to do impossible acts (Sec. 56): Agreement to do an act impossible in itself is void. If act becomes impossible after contract, it becomes void when act becomes impossible or unlawful.
- 6. Agreements required to be in writing or registered: Contract must be in writing, attested by witness and registered if required by any other law. Examples: sale, mortgage, lease, gift of immovable property (Transfer of Property Act, 1882).
IX
Nature of Quasi-Contract ·
📜 Definition & Basis
English: Contractual obligations are generally voluntarily created; but there are some obligations which are not contractual but treated as such by law – there is no contract in fact, but one in the contemplation of law. Such contracts are called quasi-contracts.
Basis: The principle is based on unjust benefit or unjust enrichment. A person who has received benefit from another must pay for it. Otherwise it would be unjust to retain such benefit.
Modern theory: The theory of 'implied contract' has been discarded. Lord Atkin, Lord Denning and Anson do not support implied theory. Modern theory is based on doctrine of unjust enrichment.
Chapter V of Contract Act (Secs. 68-72): Deals with quasi-contractual obligations.
📋 Sections 68-72 – Quasi-Contractual Obligations
- Sec. 68 – Necessaries: If a person incapable of entering into a contract, or anyone whom he is legally bound to support, is supplied with necessaries suited to his condition in life, the supplier is entitled to be reimbursed from the property of such incapable person. Example: A supplies B, a lunatic, with necessaries – A entitled to reimbursement from B's property.
- Sec. 69 – Payment of money due by another: A person who is interested in the payment of money pays it, is entitled to be reimbursed by the other. Example: Tenant pays Government revenue of his landlord to protect his lease – can recover from landlord.
- Sec. 70 – Obligation of person enjoying benefit of non-gratuitous act: Where a person lawfully does anything for another, or delivers anything, not intending to do so gratuitously, and such other person enjoys the benefit, the latter is bound to make compensation or restore the thing.
- Sec. 71 – Responsibility of finder of goods: A person who finds goods belonging to another and takes them into custody is subject to the same responsibility as a bailee.
- Sec. 72 – Liability of person to whom money is paid, or thing delivered by mistake or under coercion: Must repay or return it. Example: A and B jointly owe Tk. 1000 to C. A alone pays; B not knowing this pays again – C bound to repay B.

Dissolution of Contracts ·
📜 5 Ways of Dissolution
A contract may be dissolved in one or other of the following ways:
